• Buyer shall assume all financial and other obligations for Buyer Products, and Seller shall not incur any liability or responsibility to Buyer or to third parties arising out of or connected in any manner with Buyer Products.

• In reliance on such representation by Buyer, Products will not be odorized by Seller.

Buyer Products has the meaning assigned to the term "Products" in the Asset Purchase Agreement.

A Change Order issued shall contain the Purchase Order No. affected, a Change Order Number, a Change Order date signifying the effective date of the change(s). The Change Order may include changes that affect, but are not necessarily limited to (i) rescheduling item(s) Delivery Date(s), (ii) adding [*] item(s) in whole or in part, and/or (iii) changes to Buyer designated destination point(s). "DEFAULT" shall mean: (i) with respect to Buyer, (a) Buyer's failure to comply with any material provision of this Agreement or any Order issued hereunder, and, in the case of a breach which is capable of remedy, such failure continues unremedied for a period of [*] days of written notification of said breach; provided, delays in delivery shall be deemed incurable and not subject to the [*] day cure period herein; or
