Examples of Buyer Required Regulatory Approvals in a sentence
This Agreement and the Ancillary Agreements have been duly and validly executed and delivered by Seller and, assuming that this Agreement and the Ancillary Agreements constitute valid and binding agreements of Buyer and each other party thereto, subject to the receipt of the Seller Required Regulatory Approvals and the Buyer Required Regulatory Approvals, constitute valid and binding agreements of Seller, enforceable against Seller in accordance with their respective terms.
Without limiting the foregoing, Buyer is not aware of any reason or circumstance that would prevent Buyer from procuring Buyer Required Regulatory Approvals associated with Exempt Wholesale Generator (as defined in the Public Utility Holding Company Act of 1935) status and market-based rate authorization specified in items 3 and 2 of Schedule 5.3(b).
No consent, approval, authorization, or permit of, or filing with or notification to, any Person is required for or in connection with the execution and delivery of this Agreement by Buyer or for or in connection with the consummation of the transactions and performance of the terms and conditions contemplated hereby by Buyer, except for Buyer Required Regulatory Approvals and requirements under the HSR Act.
Buyer shall have obtained or made Buyer Required Regulatory Approvals.
As of the date of this Agreement, Seller is not aware of any reason relating to it, the Company or their Affiliates that all Buyer Required Regulatory Approvals, other than the Tariff Restructuring, are not likely to be timely obtained.
