Upon the Third Party Purchaser’s tender of payment to a Holder of the Holder’s allocable portion of the Buyout Price, the Holder shall be required to Transfer the Holder’s Membership Interests to the Third Party Purchaser.

The Holder shall be entitled to the same terms and conditions as Majority Member, including the Holder’s allocable portion of the Buyout Price (treating the Membership Interests of any Holder that does not give Majority Member Tag-Along Notification as if the Membership Interests were not issued or outstanding).
