Cadence definition

Cadence or the “Company”).

Cadence means Cadence as hereinbefore defined and any successor to its business and/or assets as aforesaid which assumes and agrees to perform this Agreement by operation of law or otherwise.

Cadence has the meaning ascribed thereto in the recitals hereto.

Examples of Cadence in a sentence

• It is acknowledged and agreed that the name “Cadence Capital Management LLC” and any portion or derivative thereof, as well as any logo that is now or shall later become associated with the name (“Cadence Marks”), are valuable property of the Portfolio Manager and that the use of the Cadence Marks by the Trust or its agents is permitted only so long as this Agreement is in place.

• Portfolio Manager consents to use of its name, performance data, biographical data and other pertinent data, and the Cadence Marks (as defined below), by the Trust for use in marketing and sales literature, provided that any such marketing and sales literature shall not be used by the Trust without the prior written consent of Portfolio Manager, which consent shall not be unreasonably withheld.

• I acknowledge that Cadence has given me 21 days in which to consider this Release and advised me to consult an attorney about it.

• The rights and obligations of Cadence under this Agreement shall inure to the benefit and shall be binding upon the successors and assigns of Cadence.

• Cadence shall have the right to assign its rights and obligations under this Agreement to an entity that, directly or indirectly, acquires all or substantially all of the assets of Cadence.

More Definitions of Cadence

Cadence means Cadence and all of its Affiliates (other than Tality, the Partnership and Subsidiaries of Tality or the Partnership), collectively, and any successors thereto and assigns thereof.

Cadence has the meaning set forth in the Introductory Paragraph.

Cadence shall have the meaning assigned to such term in the first recital of this Agreement.

Cadence means Cadence and its world-wide Subsidiaries and the successors and assigns of any of them.

Cadence means Cadence Design Systems, Inc., its directors, officers, employees, agents and representatives, predecessors, successors, and assigns; its subsidiaries, divisions, groups and affiliates controlled by Cadence Design Systems, Inc., and the respective directors, officers, employees, agents, and representatives, successors, and assigns of each.

Cadence means: (a) Cadence Bank; and (b) the applicable Executing Affiliate with respect to all Schedules executed by such Executing Affiliate. One or more Schedules incorporating the terms of this Master Agreement may be executed by one or more Affiliates (including subsidiaries) of Cadence Bank (each such Affiliate executing a Schedule shall hereinafter be referred to as an “Executing Affiliate”). For the purposes of avoiding any doubt as to the intention of the parties: (i) the terms of this Master Agreement and any and all addenda, amendments or other modifications hereto shall apply to each Schedule executed by such Executing Affiliate as if such Executing Affiliate were a party to this Master Agreement; provided, however, that the express terms of any such Schedule shall supersede any contrary terms in this Master Agreement; and (ii) any reference herein to a “Schedule” or an “Agreement” shall include each Schedule executed by an Executing Affiliate which incorporates this Master Agreement, together with this Master Agreement and any and all addenda, amendments or other modifications thereto, to the extent related to such Schedules executed by such Executing Affiliate. This Master Agreement is not a legal commitment to enter into any Schedule and, after executing a Schedule, Cadence shall have no obligation to finance any Equipment until receipt by Cadence of all documentation requested by Cadence. Each Agreement may be terminated or prepaid only if and as expressly provided therein.
