Called Shareholders has the meaning set forth in Section 5.5(a).

• Any determination by the Appraiser shall be final, binding and conclusive upon CVC and the Called Shareholders.

• If CVC and the Called Shareholders fail to agree upon the Called Securities Purchase Price within such time, CVC and the Called Shareholders shall cause the Company to designate a nationally recognized investment banking firm that is not an Affiliate of any Shareholders (the “Appraiser”) to determine the Called Securities Purchase Price.
