Calls may not be used for any externally started processes (e.g. order capture via a 3rd party system).
If the De-SPAC is closed and in consideration of the Capital Call(s) funded by Investor and received by the SPAC hereunder (such funded amounts, the “Capital Investment”), the SPAC (or the surviving entity following the De-SPAC Closing) will issue to the Investor 0.9 shares of the SPAC’s Class A Common Stock for each dollar of the Investor’s Capital Investment at the De-SPAC Closing (“Subscription Shares”).
For clarity, the aggregate amount of the Capital Calls funded under this Agreement will not exceed the Investor Capital Contribution.

The Companies may implement and expand upon call routing capabilities allowing for the routine transfer and/or routing of calls between and among centers in any location performing like functions, on a next available agent, balanced load or any other basis determined by the Companies, consistent with the terms of this Article X – Sharing of Calls Among Centers.
