Solely for the purposes of the Issuer's obligations pursuant to sections 309B(1)(a) and 309B(1)(c) of the Securities and Futures Act 2001 of Singapore, the Notes are ["prescribed capital markets products"]/[capital markets products other than "prescribed capital markets products"] (as defined in the Securities and Futures (Capital Markets Products) Regulations 2018.
Except where (i) IBHK distributes a "complex product", as such term is defined in the SFC's Code of Conduct for Persons Licensed by or Registered with the Securities and Futures Commission, or (ii) otherwise required under applicable Rules, IBHK is not responsible for the suitability of any transaction or any trading generally in any product.
The liability of the Investor Compensation Fund will be restricted to valid claims as provided for in the Ordinance and the relevant subsidiary legislation and will be subject to the monetary limits specified in the Securities and Futures (Investor Compensation-Compensation Limits) Rules and accordingly there can be no assurance that any pecuniary loss sustained by reason of such a default will necessarily be recouped from the Investor Compensation Fund in full, in part or at all.
Notwithstanding the foregoing, with respect to amounts waived or assumed by AlphaSimplex Group LLC (“AlphaSimplex”) with respect to AlphaSimplex Global Alternatives Fund and/or AlphaSimplex Managed Futures Strategy Fund prior to the date hereof, no amount would be reimbursed by the successor Fund of such fund more than one year after the end of the fiscal year in which it was incurred or waived by AlphaSimplex.
