Capital Markets Claim means any Group Creditor Claim arising out of, or in connection with, the Convertible Bonds or the Sukuk Certificates in each case without double counting;

  • For the purposes of this Clause6 and without prejudice to Clause 8.2(c) (Calculation of DOCA Creditor Entitlements) the Deed Administrators will treat each Proof of Debt filed in respect of a Capital Markets Claim as if it was submitted by the relevant Capital Markets Trustee of the relevant Capital Markets Claim, and not by a Certificate Holder.

  • For the purpose of allocating and distributing DOCA Creditor Entitleme nts relating to Capital Markets Claims, the Deed Administrators will allow a Certificate Holder to receive DOCA Creditor Entitlements as if the Proof of Debt submitted in respect of the Capital Markets Claim was submitted by the relevant Certificate Holder pro rata to that Certificate Holder’s portion of the relevant Capital Markets Claim.

Related to Capital Markets Claim

  • Capital Markets Debt means any debt securities or debt financing issued pursuant to an indenture, notes purchase agreement or similar financing arrangement (but excluding any credit agreement) whether offered pursuant to a registration statement under the Securities Act or under an exemption from the registration requirements of the Securities Act.

  • Capital Markets Indebtedness means any Indebtedness consisting of bonds, debentures, notes or other similar debt securities issued in (a) a public offering registered under the Securities Act, (b) a private placement to institutional investors that is resold in accordance with Rule 144A or Regulation S of the Securities Act, whether or not it includes registration rights entitling the holders of such debt securities to registration thereof with the SEC or (c) a placement to institutional investors. The term “Capital Markets Indebtedness” shall not include any Indebtedness under commercial bank facilities or similar Indebtedness, Capitalized Lease Obligation or recourse transfer of any financial asset or any other type of Indebtedness incurred in a manner not customarily viewed as a “securities offering.”

  • Capital Market Indebtedness means any obligation for the payment of borrowed money which is, in the form of, or represented or evidenced by bonds, or other instruments which are, or are capable of being, listed, quoted, dealt in or traded on any stock exchange or in any organised market and any guarantee or other indemnity in respect of such obligation; and

  • Xxxxx Fargo Securities means Xxxxx Fargo Securities, LLC.

  • Financial Markets means international financial markets in which currency and other financial assets exchange rates are determined in multi-party trade.

  • Pink OTC Markets means the OTC Markets Group Inc. electronic inter-dealer quotation system, including OTCQX, OTCQB and OTC Pink.

  • CCMA means the Commission for Conciliation, Mediation and Arbitration established in terms of section 112 of the Labour Relations Act, 1995;

  • LLC means Limited Liability Company.

  • Emerging Markets means those countries included in an industry recognised emerging

  • Deutsche Bank means Deutsche Bank AG and its affiliated companies, as the context requires.

  • Barclays Capital is a reference to Barclays Capital, the investment banking division of Barclays Bank PLC;

  • Public street means a public right-of-way, including a public highway, public avenue, public boulevard, public parkway, public road, public lane, public alley, public viaduct, public subway, public tunnel, public bridge, public byway, other public transportation easement, or other public way.

  • Stock Market means a market, or other place at which, or a facility by means of which—

  • Private Securities Transaction means any securities transaction relating to new offerings of securities which are not registered with the Securities and Exchange Commission, provided however that transactions subject to the notification requirements of Rule 3050 of the Financial Industry Regulatory Authority’s (FINRA) Conduct Rules, transactions among immediate family members (as defined in the interpretation of the FINRA Board of Governors on free-riding and withholding) for which no associated person receives any selling compensation, and personal securities transactions in investment company and variable annuity securities shall be excluded.

  • Corporate Finance Fee means the fee to be paid to the Agent by the Issuer in consideration of corporate finance and structuring services provided by the Agent;

  • Morgan Stanley Morgan Stanley, a Delaware corporation.

  • Venture capital fund means a private fund that meets the definition of a venture capital fund in SEC Rule 203(l)-1, 17 C.F.R. § 275.203(l)-1.

  • Financial Markets Act means the Financial Markets Act, 2012 (Act No. 19 of 2012);

  • Financial Services means any service of a financial nature, including (but not limited to) —

  • Advisory Group means the environmental flows

  • Citigroup Trust means each of Citigroup Capital III, Citigroup Capital XIII and Citigroup Capital XVIII, each a Delaware statutory trust, or any other similar trust created for the purpose of issuing preferred securities in connection with the issuances of junior subordinated notes under the junior subordinated debt indentures or the junior junior subordinated debt indenture.

  • Local Marketing Agreement means, a local marketing agreement, time brokerage agreement or similar arrangement pursuant to which a Person, subject to customary licensee preemption rights and other limitations, obtains the right to exhibit programming and sell advertising time constituting 15% or more of the air time per week of a television broadcast station licensed to another Person.

  • Digital Banking (a) means our present and future online banking services which can be accessed through 365 Online, Business Online, Bank of Ireland Mobile Banking, and services available on www.bankofireland.com; and

  • Citigroup means Citigroup Global Markets Inc.

  • OTC Markets means either OTC QX or OTC QB of the OTC Markets Group, Inc.

  • Jefferies means Jefferies Finance LLC.
