Examples of Cash Exchange Ratio in a sentence
The Stock Exchange Ratio and Cash Exchange Ratio shall be adjusted to reflect fully the effect of any stock split, reverse stock split, stock dividend (including any dividend or distribution of securities convertible into Parent Common Stock or Company Common Stock), reorganization, recapitalization or other like change with respect to Parent Common Stock or Company Common Stock occurring after the date hereof and prior to the Effective Time.
On the Effective Date, each outstanding Metropolitan Stock Option that has a strike price below $4.70 per share shall be terminated in exchange for a cash payment by Sky to each holder of a Metropolitan Stock Option in an amount equal to the Cash Exchange Ratio minus the applicable exercise price per share for Metropolitan Common Shares covered by any such Metropolitan Stock Option, multiplied by the number of Metropolitan Common Shares covered by such Metropolitan Stock Option.
Each Vested Company Share shall be cancelled and converted into the right to receive a cash payment for each share equal to (1) the Cash Exchange Ratio, plus (2) the Stock Exchange Ratio multiplied by the average closing price of Parent Common Stock for the ten (10) trading days immediately preceding the Closing Date which shall be calculated to five decimal places.
Each share of Company Common Stock issued and outstanding immediately prior to the Effective Time, but excluding all Dissenting Shares and any Excluded Securities, will be cancelled and extinguished and automatically converted into the right to receive (i) that number of shares of Parent Common Stock equal to the Stock Exchange Ratio; (ii) cash equal to the Cash Exchange Ratio; and (iii) cash to be paid in lieu of fractional shares in accordance with Section 2.6(e).
For these purposes, “Option Exchange Ratio” means the quotient obtained by dividing (A) the Cash Exchange Ratio by (B) the Parent Stock Price.
