Exchange Amount definition

Exchange Amount means the Black-Scholes Exchange Value of the portion of the Warrant being exchanged pursuant to Section 5(a), determined as of the applicable Exchange Date (as defined below).

  • Dispute as to the determination of the Exchange Amount, the Exchange Price or the arithmetic calculation of the number of Warrant Shares to be issued pursuant to the terms hereof, and shares subject to such dispute, shall be handled in the same manner as for disputes under Section 1(e) hereof.


More Definitions of Exchange Amount

Exchange Amount means the portion of the outstanding Principal to be exchanged with respect to which this determination is being made.
