Cash Management Line definition

Cash Management Line shall have the meaning assigned to such term in Section 6.01(w).
Cash Management Line means the unsecured cash management line of credit in the maximum principal amount of Fifteen Million Dollars ($15,000,000) provided by NBD to Borrower, governed by this Agreement, including any renewal or extension thereof.

Examples of Cash Management Line in a sentence

  • As Borrower desires to obtain Advances under the Cash Management Line hereunder, Borrower shall give the Agent and NBD notice thereof by not later than 11:00 a.m. (Indianapolis time), on the proposed Business Day of borrowing.

  • Prior to maturity or Default, outstanding Advances under the Cash Management Line from time to time shall bear interest at a rate per annum equal to the Alternate Base Rate.

  • At any time after any Bank has purchased and funded a participation in a Loan made under the Cash Management Line of Credit, if Bank of America receives any payment on account of such Loan, Bank of America will distribute to such Bank its pro rata share of such payment (appropriately adjusted, in the case of interest payments, to reflect the period of time during which such Bank's participation was outstanding and funded) in the same funds as those received by Bank of America.

  • Subject to the terms and conditions of this Agreement, from and after the Effective Date and prior to the Facility Termination Date, NBD shall make the Cash Management Line available to Borrower in a maximum principal amount equal to the lesser of (a) the unborrowed portion of its Revolving Loan Commitment, or (b) Fifteen Million Dollars ($15,000,000).

  • Any other provision ------------------------------ of this Agreement to the contrary notwithstanding, Loans under the Cash Management Line of Credit shall constitute Loans for all purposes under this Agreement, shall count against the Available Commitment and shall be evidenced by the Note held by Bank of America.

  • Interest only on the outstanding balance of the Cash Management Line Advances from time to time shall be due and payable throughout the term of the Cash Management Line on the last day of each fiscal quarter of Borrower.

Related to Cash Management Line

  • Cash Management Accounts means the bank accounts of each Loan Party maintained at one or more Cash Management Banks listed on Schedule 8.01.

  • Cash Management Agreements means those certain cash management agreements, in form and substance satisfactory to Agent, each of which is among Administrative Borrower or one of its Subsidiaries, Agent, and one of the Cash Management Banks.

  • Cash Management Order means an order of the Bankruptcy Court, in form and substance acceptable to the Required Lenders, (i) approving and authorizing the Loan Parties to use existing cash management system, (ii) authorizing and directing banks and financial institutions to honor and process checks and transfers, (iii) authorizing continued use of intercompany transactions, (iv) waiving requirements of Section 345(b) of the Bankruptcy Code and (v) authorizing the Loan Parties to use existing bank accounts and existing business forms.

  • Cash Management Obligations means obligations owed by the Borrower or any Restricted Subsidiary to any Lender or any Affiliate of a Lender in respect of any overdraft and related liabilities arising from treasury, depository and cash management services or any automated clearing house transfers of funds.

  • Cash Manager means Northern Rock or such other person or persons for the time being acting, pursuant to the Cash Management Agreement, as agent for the Mortgages Trustee, Funding and (following enforcement of the Funding Security) the Security Trustee for the purposes of, inter alia, managing all cash transactions and maintaining certain ledgers on behalf of the Mortgages Trustee, Funding and (following enforcement of the Funding Security) the Security Trustee;

  • Cash Management Services means any cash management or related services including treasury, depository, return items, overdraft, controlled disbursement, merchant store value cards, e-payables services, electronic funds transfer, interstate depository network, automatic clearing house transfer (including the Automated Clearing House processing of electronic funds transfers through the direct Federal Reserve Fedline system) and other cash management arrangements.

  • Cash Management Document means any certificate, agreement or other document executed by any Loan Party in respect of the Cash Management Obligations of any Loan Party.

  • Cash Management Bank means any Person that, at the time it enters into a Cash Management Agreement, is a Lender or an Affiliate of a Lender, in its capacity as a party to such Cash Management Agreement.

  • Hedging Arrangements means, with respect to any Person, any agreements or other arrangements (including interest rate swap agreements, interest rate cap agreements and forward sale agreements) entered into to protect that Person against changes in interest rates or the market value of assets.

  • Management Agreements shall have the meaning provided in Section 5.05.

  • Overdraft Facility or ‘Facility’ means an authorised debit balance that may be offered to you at our discretion from time to time allowing your Account to go overdrawn up to an agreed Overdraft Limit.

  • Deposit Account Agreement means the Deposit Account Agreement and Disclosure, as may be amended from time to time, issued by the Custodian and available on the Custodian’s internet customer portal, “xx.xxxxxxxxxxx.xxx”.
