As contemplated in, and subject to the terms and conditions of, the Backstop Agreement, the Backstop Parties agree to provide cash (on a pro rata basis) to the Company on the Effective Date in an amount necessary to fund the Noteholder Cash Options (as defined in the Term Sheet) for those Noteholders who elect the Noteholder Cash Options.
With respect to awards granted under the LTIP with a Performance Period (as defined in the LTIP) of 2019-2021 (the “2019-2021 LTIP”), such awards may be granted in the form of Cash, Options, Restricted Stock, Restricted Stock Units or any other form of award available under the 2016 Plan (as such terms are defined in the LTIP).
Turkish shall pay the value of all Valid Claims for Cash Options and Voucher Options pursuant to Section III(A) up to $1,000,000.00 USD (the “Refunded Claimants Settlement Cap”).
