Cashless Exercise Formula definition

Cashless Exercise Formula means: N’= (N x (P - E)) / P where: N’ = the adjusted number of shares of Common Stock issuable upon cashless exercise of the Option. N = the current number of shares of Common Stock issuable upon exercise of the Option. E = the Exercise Price on the date of cashless exercise of the Option. P = the average reported last sales price of the Common Stock for the last 10 trading days ending on the third business day prior to the date on which notice of cashless exercise is given.

  • Cashless Exercise means a Cashless Exercise as defined in Section 6.3(b)(i).

  • Notice of Exercise means a notice in writing addressed to the Company at its address first recited, which notice shall specify therein the number of Optioned Shares in respect of which the Option is being exercised;

  • Net Exercise means a Net Exercise as defined in Section 6.3(b)(iii).

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Minimum Exercise Amount means the Minimum Exercise Amount as specified in § 1 of the Product and Underlying Data.

  • Warrant Exercise Price means $0.05 per share.

  • Initial Exercise Price shall have the meaning set forth in Section 2.4.1.

  • Option Exercise Notice has the meaning set forth in Section 2.4(c).

  • Option Exercise Price means the price at which a share of Common Stock may be purchased upon the exercise of an Option.

  • Initial Warrant Exercise Date means __________, 1997.

  • Total Exercise Price shall have the meaning set forth in Section 4(a) hereof.

  • Exercise Price means the initial exercise price or the adjusted exercise price, depending on the context.
