CBS Affiliated Group definition

CBS Affiliated Group means the affiliated group (as that term is defined in Section 1504 of the Code and the Treasury Regulations thereunder) of which CBS is the common parent.

  • CBS shall notify Outdoor Americas in writing of any Tax Attributes (and the amount thereof) of the CBS Affiliated Group (and, if applicable, any unitary, consolidated or other similar group under any state or foreign Law) that CBS determines, in its sole and absolute discretion, shall be allocated or apportioned to the Outdoor Americas Group under applicable Tax Law.

  • Each of CBS and IBC acknowledges that the CBS Affiliated Group is likely to receive, in the aggregate, more advertising time and space for promotional purposes from the IBC Affiliated Group pursuant to this Section 3.07(a) than the IBC Affiliated Group is likely to receive from the CBS Affiliated Group.

  • Each of the CBS Affiliated Group and the IBC Affiliated Group shall be entitled to compete with each other in selling advertising time and space and in making acquisitions of media properties, subject to applicable laws, rules and regulations.

  • Notwithstanding the foregoing, so long as CBS, CBS Broadcasting or any other member(s) of the CBS Affiliated Group beneficially owns shares of capital stock of IBC representing 50% or more of the voting power of all then-outstanding shares of capital stock, IBC may not, without the prior written consent of CBS, terminate all or any portion of the insurance.

  • With respect to the period from and including the Effective Date to and including December 31, 1998 (the "Interim Period"), Transferring Employees shall continue to be employees of the CBS Affiliated Group and shall continue to participate in the CBS Benefit Plans in which they participated prior to the Effective Date.

  • CBS shall notify Radio in writing of any Tax Attributes (and the amount thereof) of the CBS Affiliated Group (and, if applicable, any unitary, consolidated or other similar group under any state or foreign Law) that CBS determines, in its reasonable discretion, shall be allocated or apportioned to the Radio Group under applicable Tax Law.

  • The costs associated with, and the revenues derived from, any such arrangements will be allocated among the CBS Affiliated Group and the IBC Affiliated Group pursuant to allocation methodologies determined on an annual basis by CBS, in its sole discretion, after consultation with IBC, which evidence each such party's respective fair and reasonable share of such costs and revenues.

  • Beginning on the Effective Date and continuing until the termination of this Agreement pursuant to Article XI, IBC shall make available, and shall cause the other members of the IBC Affiliated Group to make available, to the CBS Affiliated Group the services set forth on Schedule 3.01(a)(ii) (the "IBC Services" and each, an "IBC Service").

  • On and after the Effective Date, the CBS Affiliated Group agrees to provide the IBC Affiliated Group with radio broadcast rights to television programming (of the same type and nature as it provided prior to the Effective Date) produced by the CBS Affiliated Group, and in exchange therefor, the IBC Affiliated Group agrees to provide the CBS Affiliated Group with advertising time and space for promotional purposes during the broadcasting by the IBC Affiliated Group of such television programming.

  • IBC shall allocate the portion of IBC Expenses incurred on behalf of the CBS Affiliated Group pursuant to allocation methodologies determined on an annual basis by CBS, in its sole discretion, after consultation with IBC which, evidence each such party's respective fair and reasonable share of the IBC Expenses.

Related to CBS Affiliated Group

  • Affiliated Group means any affiliated group within the meaning of Code Section 1504(a) or any similar group defined under a similar provision of state, local or foreign law.

  • Related Group For Loan Group 1, Group 1 and for Loan Group 2, Group 2.

  • BHC Affiliate has the meaning assigned to the term “affiliate” in, and shall be interpreted in accordance with, 12 U.S.C. §1841(k).

  • Affiliated Entities means any legal entity, including any corporation, limited liability company, partnership, not-for-profit corporation, estate planning vehicle or trust, which is directly or indirectly owned or controlled by the Stockholder or his or her descendants or spouse, of which such Stockholder or his or her descendants or spouse are beneficial owners, or which is under joint control or ownership with any other person or entity subject to a lock-up agreement regarding the Common Stock with terms substantially identical to this Agreement.

  • Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.

  • Designated Group means - i) Black designated groups; ii) Black People; iii) Women; iv) people with disabilities or v) Small enterprise, as defined in Section 1 of National Small Enterprise Act, (102 of 1996)

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Participating Subsidiaries means the Subsidiaries that have been designated as eligible to participate in the Plan, and such other Subsidiaries that may be designated by the Committee from time to time in its sole discretion.

  • Related Companies means the companies within the meaning of Article L. 225-197-2 of the French Commercial Code or any provision substituted for same.

  • Affiliated group of corporations means an affiliated group as defined in section 1504 of the Internal Revenue Code, except that, if such a group includes at least one incumbent local exchange carrier that is primarily engaged in the business of providing local exchange telephone service in this state, the affiliated group shall not include any incumbent local exchange carrier that would otherwise be included in the group.

  • Participating Companies means any insurance company (including Insurance Company) that offers variable annuity and/or variable life insurance contracts to the public and that has entered into an agreement with one or more of the Funds.

  • U.S. Affiliate means the U.S. registered broker-dealer affiliate of an Underwriter;

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Company Group means the Company and its Subsidiaries.

  • Affiliated Party means, with respect to any Purchaser, any person or entity which, directly or indirectly, controls, is controlled by or is under common control with such Purchaser, including, without limitation, any general partner, officer or director of such Purchaser and any venture capital fund now or hereafter existing which is controlled by one or more general partners of, or shares the same management company as, such Purchaser.

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • Affiliated Entity means any entity controlling, controlled by, or under common control with an Insured.

  • Associated Companies : means any agent with delegated authority under Section 20 of these Terms and Conditions.

  • Parent Companies means, collectively, (i) Charter, (ii) Charter Holdings, (iii) Charter Communications Holding Company, LLC, a Delaware limited liability company, and (iv) CCH II.

  • Other Founding Companies means all of the Founding Companies other than the Company.

  • Exposed group means all employees at a work location, working area, or a common area at work, where an employee COVID-19 case was present at any time during the high-risk exposure period. A common area at work includes bathrooms, walkways, hallways, aisles, break or eating areas, and waiting areas. The following exceptions apply:

  • Company Group Member means each member of the Company Group.

  • Non-Affiliate means, for any specified Person, any other Person that is not an Affiliate of the specified Person.

  • Participating Subsidiary means a Subsidiary which has been designated by the Administrator as covered by the Plan.

  • Affiliated Company means any company controlled by, controlling or under common control with the Company.
