CDS & Co., or any other nominee appointed by CDS, which shall be treated as the sole holder of the Permanent Global Note, shall be the only person entitled to receive payments in respect of the Notes represented by such Permanent Global Note and the Issuer shall be discharged by payment to or to the order of, the sole holder of such Permanent Global Note for each amount so paid.
Principal and interest payments in respect of the Notes will be made to CDS & Co., or any other nominee appointed by CDS, and CDS will distribute the payment received to the relevant securities accounts.
In Canada, the vast majority of such shares are registered under the name of CDS & Co. (the registration name for The Canadian Depository for Securities Limited, which acts as nominee for many Canadian brokerage firms).
The Notes will be issued in the form of one or more fully registered global notes (the “Global Notes”) registered in the name of CDS & Co., as nominee of CDS Clearing and Depository Services Inc.
The Corporation does not know for whose benefit the Common Shares registered in the name of CDS & Co. are held.
