CDSX means the settlement and clearing system of CDS Clearing and Depository Services Inc. for equity and debt securities in Canada;

• An electronic exercise of the Warrants initiated by the Book Entry Participant through a book based registration system, including CDSX, shall constitute a representation to both the Corporation and the Warrant Agent that the beneficial owner at the time of exercise of such Warrants is not a U.S. Warrantholder.
