Certificate Policy Claim Amount definition

Certificate Policy Claim Amount means, with respect to each Distribution Date, the amount, if any, by which the Certificate Distributable Amount for such Distribution Date exceeds the sum of (i) the amount of Net Collections actually deposited in the Certificate Distribution Account on such Distribution Date in accordance with Section 5.05 plus (ii) the amount of the Certificate Deficiency Claim Amount, if any, paid to the Certificate Distribution Account from the Spread Account pursuant to a Deficiency Notice delivered for such Distribution Date.
Certificate Policy Claim Amount for any Distribution Date shall equal the lesser of (i) the sum of the Certificateholders' Interest Distributable Amount and the Certificateholders' Principal Distributable Amount (in each case, less the amount thereof distributable to the General Partner) for such Distribution Date and (ii) the excess, if any, of the amount required to be distributed pursuant to clauses (i) - (vi) of Section 5.6(b) over the Distribution Amount and any Note Policy Claim Amounts for such Distribution Date.

THIS CERTIFICATE SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF DELAWARE, WITHOUT REFERENCE TO ITS CONFLICT OF LAW PROVISIONS, AND THE OBLIGATIONS, RIGHTS AND REMEDIES OF THE PARTIES HEREUNDER SHALL BE DETERMINED IN ACCORDANCE WITH SUCH LAWS.
