Examples of Change of Control Resolutions in a sentence
The Issuer undertakes to (i) use its best endeavours to procure that the Change of Control Resolutions be passed at the general meeting of Shareholders of the Issuer scheduled to be held prior to the Long Stop Date and (ii) file a copy of the resolutions as aforesaid promptly thereafter with the clerk of the competent enterprise court (griffie van de ondernemingsrechtbank/greffe du tribunal de l’entreprise) by the Long Stop Date.
The provisions relating to meetings of Bondholders, the New Share Resolution and the Change of Control Resolutions are governed by, and shall be construed in accordance with, Belgian law.
The Issuer undertakes to (i) use its best endeavours to procure that the Change of Control Resolutions be passed at the general meeting of Shareholders of the Issuer scheduled to be held prior to the Long Stop Date and (ii) file a copy of the resolutions as aforesaid promptly thereafter with the clerk of the competent commercial court (greffe du tribunal de commerce / griffie van de rechtbank van koophandel) by the Long Stop Date.
If by no later than 31 July 2021 (a) the Change of Control Resolutions are not passed, approved or adopted at a general shareholders’ meeting of the Issuer or (b) the Change of Control Resolutions have not been dulyfiled with the Clerk of the Business Court of Ghent, division Kortrijk, then, with effect from the Interest Period starting on the first Interest Payment Date following 31 July 2021, the rate of interest payable on the Bonds shall be increased by 0.50 per cent.
The Issuer has undertaken, pursuant to Condition 5.2(a), to use all reasonable endeavours to procure that the Change of Control Resolutions be passed at the general meeting of shareholders of the Issuer to be held in the second quarter of 2021 and to file a copy of the resolution as aforesaid immediately thereafter.
