Change of Control Resolutions definition

Change of Control Resolutions means one or more resolutions duly adopted at a general shareholders’ meeting of the Issuer approving the provisions of Condition 5.2.

• The Issuer has undertaken, pursuant to Condition 5.2(a), to use all reasonable endeavours to procure that the Change of Control Resolutions be passed at the general meeting of shareholders of the Issuer to be held in the second quarter of 2021 and to file a copy of the resolution as aforesaid immediately thereafter.
