CHS Digital Data and Products definition

CHS Digital Data and Products means the digital data and products produced by or for CHS, provided by the Crown to the Licensee for the purposes of developing and distributing VAR Products and VAR Product Updates, for distribution to end users, in accordance with the terms and conditions of this Agreement. The CHS Digital Data and Products available for licence at any given time are listed at xxx.xxxxxx.xx.xx. The CHS Digital Data and Products which the Licensee has requested are set out in Schedule “D” attached hereto. The CHS Digital Data and Products which the Licensee has licensed are set out in Schedule “E” attached hereto. CHS may in its sole discretion cancel or replace any CHS Digital Data or Product, as provided out in clause 5.3 below. “CHS Digital Data and Products” includes related documentation provided by CHS to the Licensee pursuant to the terms and conditions of this Agreement. “CHS Digital Data and Products Updates” mean updates to CHS Digital Data and Products which may consist of a new chart, a new edition of a chart, or a new electronic file, in CHS's sole discretion, within the geographic area of licensed CHS Digital Data and Products. Such CHS Digital Data and Products Updates will be available on a CHS server for downloading by the Licensee without charge. However, if the Licensee wishes to licence additional CHS Digital Data and Products, or new charts produced by CHS outside the geographic area of licensed CHS Digital Data and Products, the Licensee can request an amendment to this Agreement which will be attached in Schedule “F” hereto.

Examples of CHS Digital Data and Products in a sentence

  • The Licensee shall not during or at any time after the expiry or termination of this Agreement in any way question or dispute the ownership by the Crown of its Intellectual Property Rights in and to the CHS Digital Data and Products and/or the CHS Digital Data and Product Updates.

  • In the event of non-payment, CHS has the discretion to refuse to renew this Agreement or to terminate this Agreement and repossess any documentation, records or information relating to CHS Digital Data and Products, in accordance with clause 10.

  • If at any time, the Licensee is in default on the performance of any of its payment or other obligations under this Agreement, CHS shall be entitled, for so long as such default continues, to withhold provision of any CHS Digital Data and Products and /or CHS Digital Data and Product Updates to the Licensee.

  • In case of VAR Products or VAR Product Updates containing multiple CHS charts or multiple types of CHS Digital Data and Products, the Licensee shall pay multiple Access Royalties as set out above, but only a single Sales Royalty.

  • Access Royalties are due in advance of the Licensee receiving CHS Digital Data and Products.

  • Hemp products means all products made from industrial hemp,

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • Data Supplier means a third party supplier of Market Data.

  • End Products as used in this clause, means those articles, materials, and supplies to be acquired for public use under this contract.

  • Marijuana products means concentrated marijuana products and marijuana products that are comprised of marijuana and other ingredients and are intended for use or consumption, such as, but not limited to, edible products, ointments, and tinctures.

  • Seller Products means all products and services that are being manufactured or performed by Seller at any time, other than Logic Business Products that are being manufactured or performed by Seller as of the Closing Date.

  • Refined Products means gasoline, diesel fuel, jet fuel, asphalt and asphalt products, and other refined products of crude oil.

  • the Products means all products and associated documentation to be supplied under this Contract;

  • SAP Technology Solution(s means SAP NetWeaver Foundation for Third Party Applications, SAP Business Technology Platform (excluding when used solely as a Connectivity App between an SAP Application and ERP), SAP Signavio Solutions and SAP Process Insights (including any renamed, prior and/or successor versions of any of the foregoing made generally available by SAP if any but excluding when any of the foregoing are used as a User Interface for ERP.

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • Existing Products Tangible Products and intangible licensed Products that exist prior to the commencement of work under the contract. Existing Products must be identified on the Product prior to commencement of work or else will be presumed to be Custom Products.

  • Customer Software means software which is owned by or licensed to the Customer;

  • Your Products means products developed or to be developed by or for You that include an Intel Component executing the Materials.

  • Products means information resources technologies that are, or are related to, EIR.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Customer User means an employee of Customer, a Customer Affiliate or Business Partner.

  • Supplier Background IPR means Intellectual Property Rights owned by the Supplier before the Call Off Commencement Date, for example those subsisting in the Supplier's standard development tools, program components or standard code used in computer programming or in physical or electronic media containing the Supplier's Know-How or generic business methodologies; and/or Intellectual Property Rights created by the Supplier independently of this Call Off Contract,

  • SAP Group Software means (i) any and all software products listed on the Price List as well as any SAP SDK which are provided by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) under any part of this Agreement all as developed by or for the SAP Group; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to Maintenance Services or warranty obligation by any member of the SAP Group; and (iii) any complete or partial copies of any of the foregoing.

  • NEC Electronics products means any product developed or manufactured by or for NEC Electronics (as defined above).

  • Products and Services means the products and/or services to be sold by Vendor hereunder as identified and described on Attachment A hereto and incorporated herein, as may be updated from time to time by Vendor to reflect products and/or services offered by Vendor generally to its customers.

  • SAP Products means Software, Documentation, SAP Materials, Services, Subscription Services, Cloud Services and Maintenance Services. “SAP SDK” means SAP software development kit that includes tools such as APIs, source code, redistributable files and instructions. “Services” means SAP’s then-current services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Network Data Mover (NDM) or “Connect Direct” means the industry standard protocol for transferring information electrically.

  • Software Products means any and all Software that is or has been distributed by the Division or Division Subsidiaries and their predecessors, and any similar products developed or under development by Seller relating to the Business as of the date of the Agreement, and all documentation, packaging materials, promotional materials, and training materials relating to any of the foregoing.

  • Clinical Data means the information concerning the safety or performance that is generated from the use of a device and that are sourced from the following:

  • Bioassay means the determination of kinds, quantities or concentrations and, in some cases, the locations of radioactive material in the human body, whether by direct measurement, in vivo counting, or by analysis and evaluation of materials excreted or removed from the human body. For purposes of these rules, “radiobioassay” is an equivalent term.
