CIBC Fairness Opinion definition

CIBC Fairness Opinion means the opinion of CIBC World Markets Inc., the financial advisor to the Company, to the effect that, as of the date of such opinion and based upon and subject to the assumptions, limitations and qualifications set forth therein, the Consideration to be received by the Company Shareholders under the Arrangement is fair, from a financial point of view, to the Company Shareholders.

CIBC Fairness Opinion means the written opinion of CIBC to the effect that, as of the date of such opinion, and subject to the assumptions, limitations and qualifications set forth in such opinion, the Consideration to be received by the Shareholders (other than the Shaw Family Shareholders) pursuant to the Arrangement Agreement is fair, from a financial point of view, to such Shareholders;

CIBC Fairness Opinion means the opinion of CIBC to the effect that, as of the date of such opinion, and based upon and subject to the assumptions, limitations and qualifications set forth therein the Consideration to be received by the Shareholders under the Arrangement is fair, from a financial point of view, to the Shareholders (other than, as applicable, the Purchaser). “CIBC 公允意见”是指 CIBC 出于下列目的给出的意见，即截至意见出具之日且基于其中列明的假设、限制和资质要求，股东在本安排下收到的对价对于股东自身(买方除外 (如适用))而言是公允的(从财务角度看)
