Citigroup Organization definition

Citigroup Organization means Citigroup, Inc. and any company or other entity of which Citigroup, Inc. is directly or indirectly a shareholder or owner. For purposes of this Agreement, each branch of Citibank, N.A. will be a separate member of the Citigroup Organization.
Citigroup Organization means Citigroup, Inc. and any company or other entity of which Citigroup, Inc. is directly or indirectly a majority or controlling shareholder or owner. For purposes of this Agreement, each branch of Citibank, N.A. shall be a separate member of the Citigroup Organization. “Clearance System” means any clearing agency, settlement system or depository (including any entity that acts as a system for the central handling of Securities in the country where it is incorporated or organized or that acts as a transnational system for the central handling of Securities) used in connection with transactions relating to Securities and any nominee of the foregoing. “Fee Schedule” means the separate letter agreement agreed by the parties related to the fees payable by the Client with respect to this Agreement, as amended from time to time by written agreement of the parties. “FINRA” means the Financial Industry Regulatory Authority, Inc. (formerly known as the National Association of Securities Dealers, Inc.) “Foreign Securities System” means a Clearance System located outside the United States that is an Eligible Securities Depository (as defined in Rule 17f-7(b)(1) of the Investment Company Act) and that is made available to the Client via the Custodian’s web portal. “Foreign Sub-Custodian” has the meaning assigned thereto in Section 8(B)(i). “Instructions” means any and all instructions (including approvals, consents and notices) received by the Custodian from, or reasonably believed by the Custodian to be from, any Authorized Person, including any instructions communicated through any manual or electronic medium or system agreed between the Client and the Custodian. “Investment Company Act” means the Investment Company Act of 1940, as amended from time to time. “Repo Custodian” means, with respect to a Fund, one or more additional custodians appointed by such Fund, and communicated to the Custodian from time to time via a writing duly executed by an authorized officer of the Fund, for the purpose of engaging in repurchase agreement transactions(s) “SEC” means the U.S. Securities Exchange Commission.

  • The Client agrees that the Custodian may register or record legal title to any Securities in the name of a nominee company or a Subcustodian in the Citigroup Organization and may appoint a member of the Citigroup Organization to be a Subcustodian.
