Class B Preferred Guarantee definition

Class B Preferred Guarantee means the Class B Preferred Securities Subordinated Guarantee Agreement dated as of May 9, 2008, as amended from time to time, between the Bank, as guarantor, and The Bank of New York, as Class B Preferred Guarantee Trustee, for the benefit of the Class B Preferred Securityholders from time to time.
Class B Preferred Guarantee means the agreement by Deutsche Bank AG with The Bank of New York as Class B Preferred Guarantee Trustee for the benefit of the holders of the Class B Preferred Securities to guarantee payment, on a subordinated basis, of certain payments on the Class B Preferred Securities.
Class B Preferred Guarantee has the meaning set forth in the preamble to this Class B Preferred Guarantee.

Examples of Class B Preferred Guarantee in a sentence

  • Any Independent Director so appointed shall vacate office if, in such Independent Director’s sole determination, Capital Payments have been paid regularly at the Stated Rate in full by the Company or the Guarantor under the Class B Preferred Guarantee or the Trust Preferred Guarantee for one calendar year.

  • To the extent set forth in the Class B Preferred Guarantee, the Guarantor has agreed to pay the Class B Preferred Securityholders, as and when due, the Class B Preferred Guarantee Payments.

  • Capital Securities means undivided beneficial interests in the assets of the Trust which rank pari passu with Common Securities issued by the Trust; provided, however, that upon the occurrence and continuance of an Event of Default (as defined in the Declaration), the rights of holders of such Common Securities to payment in respect of distributions and payments upon liquidation, redemption and otherwise are subordinated to the rights of holders of such Capital Securities.

  • Preferred Securities has the meaning specified in the first recital of this Indenture.
