Class B Unreturned Capital definition

Class B Unreturned Capital means, with respect to any Class B Unit of any series and as of any date, an amount equal to the excess, if any, of (i) the aggregate amount of Capital Contributions made or deemed to have been made with respect to such Class B Unit as of such date, over (ii) the aggregate amount of prior Distributions made by Holdings LLC as of such date in respect of such Class B Unit pursuant to Section 2 or Section 4 (as applicable) of this Exhibit B. The Class B Unreturned Capital of each Holder of Class B Units as of the effective date shall be equal to the Capital Contributions set forth on the Schedule of Members.
Class B Unreturned Capital means an amount equal to the excess, if any, of (i) the sum of (A) the Initial Class B Balance and (B) the Class B Return compounded as set forth in the definition of "Class B Return" herein, over (ii) the aggregate amount actually distributed to Class B Member after the Closing Date pursuant to Sections 4.01, 4.02, 8.02 or 9.03 herein.
Class B Unreturned Capital of any Class B Unit means, as of any date, an amount equal to the excess, if any, of (i) the aggregate Capital Contributions made with respect to such Class B Unit prior to such date (as such amount may be adjusted pursuant to Section 3.3(c)(iii)), over (ii) the aggregate amount of all Distributions made by the LLC in respect of such Class B Unit pursuant to Section 4.1(a)(iv).

Examples of Class B Unreturned Capital in a sentence

  • In any matter submitted to the holders of Class B Units for a vote (if any), the holders of Class B Units shall be entitled to vote as a single class and each holder of Class B Units shall be entitled to one vote for each dollar of Class B Unreturned Capital with respect to such holder’s Class B Units.

  • Notwithstanding any provision to the contrary contained in this Agreement, the Company shall not make a distribution to any Member on account of its Interest if such distribution would violate the Act or other applicable law or, in the case of a distribution with respect to the Class B Interest, violate Section 8.02(b) or exceed the Class B Unreturned Capital plus any unpaid Class B Return.

  • Immediately upon a Distribution of the full amount of the Senior Preferred Unreturned Capital, Class A Unreturned Capital or Class B Unreturned Capital in accordance with the terms herein in respect of a Senior Preferred Unit, Class A Preferred Unit or Class B Preferred Unit, respectively, the holder of any such unit shall no longer have any rights hereunder as a holder of such unit.

  • For the purposes hereof, the Class B Interest shall be redeemed in full at such time as the Class B Member has received cash redemption payments equal, in the aggregate, to the sum of (i) Class B Unreturned Capital and (ii) the aggregate Class B Return that has not been added to Class B Unreturned Capital, calculated through and including the date of such redemption in full.

  • The price payable by the Company in order to exercise the Option in full (the "Full Exercise Price") shall be equal to the amount required to be paid to Nortel hereunder (whether pursuant to a single exercise of the Option or otherwise) in order to reduce each of the Class B Unreturned Capital and accrued but unpaid Class B Return (to the extent not previously added to Class B Unreturned Capital) to zero (giving effect to the adjustment contemplated by Section 3.03).

  • Redemption payments shall be applied first to the payment of accrued Class B Return that has not been paid or added to Class B Unreturned Capital, and then to payment of Class B Unreturned Capital.

  • If (a) a Bankruptcy occurs as to the Company and (b) an exchange described in Section 8.03 has not occurred, no other Member of the Company shall be entitled to receive any distributions under this Agreement until the Class B Member has received a distribution of (i) the Class B Unreturned Capital and (ii) any unpaid Class B Return.

Class B Unreturned Capital of any Class B Preferred Unit means, as of any date, the aggregate Capital Contributions made or deemed to be made in exchange for such Class B Preferred Unit reduced by all Distributions made by the LLC that constitute a return of Class B Unreturned Capital under SECTION 4.1(a)(iv).

  • Unreturned Capital means, with respect to a Preferred Unit or a ------------------ Class L Common Unit, the excess, if any, of the Capital Contribution made or deemed made in exchange for or on account of such Unit over all Distributions made by the Partnership that constitute a return of the Capital Contribution therefor pursuant to Section 4.1(a)(ii) or 4.1(a)(iv).

  • Unreturned Capital Contributions means all Capital Contributions made by a Class A Member less any returned capital.

  • Invested Capital means the amount calculated by multiplying the total number of Shares purchased by Stockholders by the issue price at the time of such purchase, reduced by the portion of any Distribution that is attributable to Net Sales Proceeds and by any amounts paid by the Company to repurchase Shares pursuant to the Company’s plan for the repurchase of Shares.

  • Unrecovered Capital means at any time, with respect to a Unit, the Initial Unit Price less the sum of all distributions constituting Capital Surplus theretofore made in respect of an Initial Common Unit and any distributions of cash (or the Net Agreed Value of any distributions in kind) in connection with the dissolution and liquidation of the Partnership theretofore made in respect of an Initial Common Unit, adjusted as the General Partner determines to be appropriate to give effect to any distribution, subdivision or combination of such Units.

  • Average Invested Capital of the Company shall mean the average of the aggregate historical cost of the consolidated assets of the Company and its subsidiaries, excluding the Transferred Assets, invested, directly or indirectly, in real estate or ownership interests in, and loans secured by, real estate and personal property owned in connection with such real estate (collectively, “Properties”) (including acquisition related costs and costs which may be allocated to intangibles or are unallocated), before reserves for depreciation, amortization, impairment charges or bad debts or other similar noncash reserves, computed by taking the average of such values at the beginning and end of the period for which Average Invested Capital is calculated.

  • Class B Common Unit means one of that certain class of Common Units with those special rights and obligations specified in this Agreement as being appurtenant to a “Class B Common Unit”.

  • Adjusted Capital Account Balance means, with respect to each Partner, the balance in such Partner’s Capital Account adjusted (i) by taking into account the adjustments, allocations and distributions described in Treasury Regulations Sections 1.704-1(b)(2)(ii)(d)(4), (5) and (6); and (ii) by adding to such balance such Partner’s share of Partnership Minimum Gain and Partner Nonrecourse Debt Minimum Gain, determined pursuant to Treasury Regulations Sections 1.704-2(g) and 1.704-2(i)(5), any amounts such Partner is obligated to restore pursuant to any provision of this Agreement or by applicable Law.   • Class C Percentage Interest As of any date of determination, with respect to the Class C Certificates, a percentage interest equal to a fraction, the numerator of which is the Class Principal Balance of the Class C Certificates on such date, and the denominator of which is the Class Principal Balance of the Class C Regular Interest on such date.

  • Class B Unit means a Partnership Unit which is designated as a Class B Unit of the Partnership.

Following the Investment Period, the Adviser may issue Drawdown Notices, and Common Unitholders will be required to make Drawdown Purchases, for the purposes described in Section 4.1(b).

  • Book Capital Account means, for any Holder at any time, the Book Capital Account of the Holder for such day, determined in accordance with Section 8.1 hereof.

  • Class B-5 Distribution Amount As to any Distribution Date, any amount distributable to the Holders of the Class B-5 Certificates pursuant to Paragraphs seventeenth, eighteenth, and nineteenth of Section 4.01(a).
