The Owner Trustee is hereby irrevocably instructed to contribute such amount immediately upon receipt thereof to the Class D Trust so that the Class D Trustee may purchase such Series D Equipment Note (as such term is defined in the Intercreditor Agreement) in accordance with the terms and conditions of the Participation Agreement relating to such aircraft.
