The Collateral Agent shall have received (with a copy to the Administrative Agent) a fully executed and notarized mortgage or deed of trust from each Guarantor (each a "Closing Date Mortgage") encumbering all of such Guarantor's Closing Date Mortgaged Property as security for the payment and performance of the Secured Obligations.
