Closing Date Stock Payment definition

Closing Date Stock Payment means certain one-time cash settlement payments on the Closing Date to the holders of the Restricted Stock Unit Awards in accordance with the terms of Section 3.3(a) of the Merger Agreement as in effect on the Closing Date.
Closing Date Stock Payment has the meaning set forth in Section 2.3(a)(ii).
Closing Date Stock Payment means the Stock Purchase Price, subject to and less the Escrow.

  • Stock Payment means (a) a payment in the form of shares of Stock, or (b) an option or other right to purchase shares of Stock, as part of any bonus, deferred compensation or other arrangement, made in lieu of all or any portion of the compensation, granted pursuant to Article 8.
