Closing Document definition

Closing Document means any document delivered at or subsequent to the Closing Time as provided in or pursuant to, this Agreement;
Closing Document means any agreement, assignment, instrument, undertaking, resolution, share certificate, certificate or any other document delivered in relation to the Closing, including without limitation the Escrow Agreement, the Paying Agent Agreement, the form of the Optionholder Acknowledgment, and the Shareholder Representative Agreement, but excluding any employment or engagement agreement.
Closing Document means any document delivered at or subsequent to the Closing Time as provided in or pursuant to this Agreement;

Examples of Closing Document in a sentence

  • Except as otherwise expressly provided in this Agreement or in any Closing Document, or except as set forth in any Exhibit or Schedule attached hereto, Sellers make no representation or warranty as to the truth, accuracy or completeness of such documents or any other studies, documents, reports or other information provided to the Buyer by the Sellers.

  • Each party acknowledges and agrees that, except as expressly set forth in this Agreement or any Closing Document, no party has made (and no party is relying on) any representation or warranties of any nature, express or implied, regarding any or relating to any of the transactions contemplated by this Agreement.

Closing Document means any document delivered at or subsequent to the Closing Date as provided in or pursuant to this Agreement;
