Closing NAV definition

Closing NAV means the Total Shareholders’ Equity, as recorded in the most recent audited financial statements of the Company reported by the Company prior to the Closing Date (as defined in the CLA), i.e. [USD $, 2,802,720 as per the 2017 audited financial statements].

Closing NAV. – shall mean the Total Shareholders' Equity, as recorded in the most recent audited financial statements of the Company reported by the Company prior to the Closing Date (as defined in the CLA), i.e. USD $, 2,802,720 as per the 2017 audited financial statements.

Closing NAV means the sum of the Net Asset Value of each Applicable Asset as provided in Exhibit A attached hereto.

Examples of Closing NAV in a sentence

• The “Closing NAV” shall be the Net Asset Value per Share at the Calculation Date as at which the calculation is being made before accrual of the performance fee, except that in respect of an investor who redeems Shares in that performance period other than as at the Calculation Date, the Closing NAV shall be the Net Asset Value per Share at the date of redemption, before accrual of the performance fee.

• However, the performance fee attributable to a Share that is redeemed at any time other than at a Calculation Date shall be based on the difference between the Closing NAV of such Share (before accrual of the performance fee) as of the end of the Dealing Day on which such Share is redeemed and the Reference NAV of such Share.

• However, the performance fee attributable to a Share that is redeemed at any time other than at a Calculation Date shall be based on the difference between the Closing NAV of such Share (before accrual of the performance fee) as of the end of the Dealing Day on which such Share is redeemed and the Benchmark Level in respect of such Share.

• However, the performance fee attributable to a Share that is redeemed at any t ime other than at a Calculation Date shall be based on the difference between the Closing NAV of such Share (b efore accrual of the performance fee) as of the end of the Dealing Day on which such Share is redeemed and the Reference NAV of such Share.

• The “Closing NAV” shall be the Net Asset Value per Share at the Calculation Date as at which the calculation is being made before accrual of the performance fee, except that in respect of an investor who redeems Shares in that performance period other than as at the Calculation Date, the Closing NAV shall be the Net Asset Value per Share at the date of redemption (net of all costs before the deduction of any accrual of the performance fee, provided that in doing so it is in the investor’s best interest).

More Definitions of Closing NAV

Closing NAV means the dollar amount / value of the balance sheet line items associated with assets acquired by the Purchaser under this Agreement (the Inventory (net of inventory reserve), the Accounts Receivable (net of allowance for doubtful accounts), Other Current Assets and Fixed Assets, net) minus the dollar amount / value of the balance sheet line items associated with liabilities assumed by the Purchaser under this Agreement (the Accounts Payable, Other Current Liabilities and Long Term Liabilities), in each case as at the Transfer Date pursuant to the Closing Accounts.

Closing NAV has the meaning set forth in Section 3.2(a).

Closing NAV means Bank NAV as reflected on the Closing Date Balance Sheet.
