Collateral SPV definition

Collateral SPV means iStar Xxxx Holdings LLC, iStar Xxxx LLC or any other special purpose entity of the Borrower formed to own and hold Collateral, in each case (other than with respect to iStar Xxxx Holdings LLC), the equity interests in which are directly and wholly owned by iStar Xxxx Holdings LLC or iStar Xxxx LLC.
Collateral SPV means iStar Tara Holdings LLC, iStar Tara LLC or any other special purpose entity of the Company formed to own and hold Collateral, in each case (other than with respect to iStar Tara Holdings LLC), the equity interests in which are directly and wholly owned by iStar Tara Holdings LLC or iStar Tara LLC.

Examples of Collateral SPV in a sentence

  • The Borrower shall not permit the organizational documents of any Collateral SPV or any Collateral LLC to be amended, supplemented or otherwise modified in any material respect without the prior written consent of the Administrative Agent, not to be unreasonably withheld.

  • In the event that any such Lien attaches to any portion of the Collateral, SPV shall, within thirty (30) days after any such Lien attaches, either (i) cause such Lien to be released of record; or (ii) provide TFC with a bond in accordance with the applicable laws of the Resort States issued by a corporate surety acceptable to TFC, in an amount and form acceptable to TFC.

  • Other than those particular matters described in Exhibit H hereto, there shall be no bankruptcy, foreclosure action or other material litigation or judgments pending or outstanding against any of the Resorts, the Units, any portion of the Collateral, SPV, Developer, any Subject Person or the Affiliates of any of the foregoing (each a "Material Party").

Related to Collateral SPV

  • Collateral savings, as used in this clause, means those measurable net reductions resulting from a VECP in the agency's overall projected collateral costs, exclusive of acquisition savings, whether or not the acquisition cost changes.

  • Collateral Security means security, other than a security interest in a motor vehicle that is the subject of an installment sale contract, that is given to secure performance of an obligation of the buyer, or of any surety or guarantor for the buyer, under an installment sale contract. The term includes the undertakings of any surety or guarantor for the buyer and any interest in, encumbrance on, or pledge of real or personal property other than the motor vehicle that is the subject of the installment sale contract.

  • Collateral source shall have the meaning set forth in Section 8.5.

  • Original Collateral Sale Date means 1 December 2020.

  • Collateral Support means all property (real or personal) assigned, hypothecated or otherwise securing any Collateral and shall include any security agreement or other agreement granting a lien or security interest in such real or personal property.

  • Collateral Security Documents Any document or instrument given to secure or guaranty the Mortgage Loan, including without limitation, the Mortgage, each as amended, supplemented, assigned, extended or otherwise modified from time to time.

  • Collateral Event means that no Relevant Entity has credit ratings at least equal to the Approved Ratings Threshold.

  • Collateral has the meaning set forth in Section 2.

  • Portfolio Assets means the portion of the net assets of the Fund managed by the Sub-Adviser pursuant to the following investment strategy as agreed to by the Adviser and the Sub-Adviser in a separately negotiated investment mandate: Emerging Markets (each a “Strategy”).

  • Pledge Agreement Collateral means all "Collateral" as defined in the Pledge Agreement.

  • Additional Collateral Mortgage Loan Each Mortgage Loan identified as such in the Mortgage Loan Schedule.

  • Portfolio Asset means an asset of an investment fund;

  • Mortgage Collateral the “Collateral” as defined in the Mortgage Loan Agreement.

  • Permitted Receivables Related Assets means any other assets that are customarily transferred, sold and/or pledged or in respect of which security interests are customarily granted in connection with asset securitization transactions involving receivables similar to Receivables and any collections or proceeds of any of the foregoing (including, without limitation, lock-boxes, deposit accounts, records in respect of Receivables and collections in respect of Receivables).

  • Securitization Property means the property described in section 10j.

  • Pledged Investment Property means any investment property of any Grantor, and any distribution of property made on, in respect of or in exchange for the foregoing from time to time, other than any Pledged Stock or Pledged Debt Instruments. “Pledged Investment Property” excludes any Excluded Property.

  • Collateral Loan means a Senior Secured Loan, a Senior Secured Bond, a First Lien/Last Out Loan or a Second Lien Loan or a Participation Interest in any Senior Secured Loan, First Lien/Last Out Loan or Second Lien Loan that as of the date of acquisition by the Borrower meets each of the following criteria:

  • Borrower Collateral means all of Borrower’s now owned or hereafter acquired right, title, and interest in and to each of the following:

  • Hedge Collateral Defined in Section 5.3(b).

  • Receivables Related Assets means accounts receivable, instruments, chattel paper, obligations, general intangibles and other similar assets, in each case relating to receivables subject to the Permitted Receivables Facility, including interests in merchandise or goods, the sale or lease of which gave rise to such receivables, related contractual rights, guaranties, insurance proceeds, collections and proceeds of all of the foregoing.

  • Loan Assets means, collectively and as applicable, the Initial Loan Assets, the Substitute Loan Assets and the Additional Loan Assets, as applicable.

  • Collateral Substitution has the meaning specified in Section 3.13.

  • Security Agreement Collateral means all "Collateral" as defined in the Security Agreement.
