Combination Transactions definition

Combination Transactions means all of the transactions described under “Summary—The Combination” in the Offering Memorandum (and any related transactions).

• No “fair price,” “moratorium,” “control share acquisition” or other similar antitakeover statute or similar statute or regulation applies with respect to Starwood or any of its subsidiaries in connection with this Agreement, the Combination Transactions or any of the other transactions contemplated hereby.

More Definitions of Combination Transactions

Combination Transactions means the combination and separation transactions by and among Pfizer Inc. (“Pfizer”), the Borrower and Mylan N.V., including but not limited to the separation of Pfizer’s global, primarily offpatent branded and generic established medicine business and the combination of such business with Mylan N.V., the borrowings and other financings related thereto, and the payment of fees and expenses associated therewith.

Combination Transactions means all of the transactions described under “Summary—Recent Developments—The Combination” in the New Senior Guaranteed Notes Offering Memorandum.
