The Operating Company shall advise the Director of any deficiencies and or discrepancies found in these documents and shall submit proposals for resolving such deficiencies and or discrepancies including the preparation of operations and maintenance manuals necessary for the safe inspection and maintenance Operations set out in Schedule 2 Scope, Section 4 Inspection & Maintenance – Structures no later than six (6) months after the Commencement of Service Date.
From such date, AMS will be responsible to provide measurement data in support of the applicable Service Levels provided, however, that for the first one hundred eighty (180) days following the Commencement of Service Date (“Ramp-up Period”), AMS shall not be responsible for applying Service Credits to invoices for any failures to attain any of the Service Levels.
This Agreement shall take effect on the date of execution hereof and, unless otherwise terminated in accordance with the provisions of this Agreement (including the break clause contained in Clause 40) or extended for a maximum of three months in accordance with Clause 8.6, shall expire ten (10) years from and including the Commencement of Service Date.
On and after the Commencement of Service Date, QF shall sell and deliver to Georgia Power at the Point of Delivery electric energy in each hour corresponding to the Committed Capacity of the Facility (the “Energy Contract Amount”), and Georgia Power agrees to purchase, accept, and pay for such electric energy delivered to Georgia Power at the Point of Delivery.
Anticipated Commencement of Service Date shall mean the date that IPA and Interconnection Customer anticipate interconnection will commence, as set forth in Exhibit A.
