The Commercial Management Agreement is annexed hereto as Appendix 2.
The Company shall pay a management fee to the Manager (“the Management Fee”) in consideration of the services rendered by the Manager under the Commercial Management Agreement and an administration fee to the Manager (“the Administration Fee”).
With the exception of the Commercial Management Agreement, this Agreement contains the entire agreement between each of the Members and the Manager with respect to the subject matter hereof.
For the avoidance of doubt, the Commercial Manager is not entitled to any compensation in respect of any termination of the Commercial Management Agreement.
