Common Stock Cap means 45 percent of the quotient determined by dividing the number of BlackRock Shares issued and outstanding as of immediately prior to the Effective Time by 0.55.
Common Stock Cap means 4.9% of the number of shares of outstanding Buyer Stock.

  • In no event shall the total number of shares of Common Stock into which the Series C Preferred Stock is convertible and the Warrants are exercisable exceed the Common Stock Cap prior to the Stockholder Approval.
