Common Stock Directors definition

Common Stock Directors shall have the meaning assigned to it in the Certificate.
Common Stock Directors has the meaning set forth in Paragraph I(8)(b) hereof.
Common Stock Directors means those directors who have not been ---------------------- elected by the holders of the shares of the Convertible Preferred Stock pursuant to Section 9.

  • During the Initial Period, for so long as any Convertible Preferred Stock is issued and outstanding, (x) the holders of Convertible Preferred Stock shall have no right to vote in the election or removal of, or filling of vacancies in, the Common Stock Directors, and (y) the holders of Common Stock shall have no right to vote in the election or removal of, or filling of vacancies in, the Preferred Stock Directors.

  • During the Initial Period, (a) Preferred Stock Directors shall be nominated only by the Preferred Stock Directors then in office, and (b) the Common Stock Directors shall be nominated only by the Common Stock Directors then in office or the holders of Common Stock in accordance with the Bylaws.

Common Stock Directors means those directors of the Company who have not been elected by the holders of the Securities pursuant to the separate class vote granted to the Holders of the Securities to elect directors pursuant to the Charter Amendment.

Related to Common Stock Directors

  • Parent Directors means the Directors elected or appointed pursuant to Articles 53 – 56 inclusive;

  • New Directors means any director whose election by the Board or whose nomination for election by the Company's stockholders was approved by a vote of at least two-thirds of the directors then still in office who were Present Directors or New Directors.

  • Preferred Directors means, collectively, the Series A Directors and the Series B Director.

  • Series A Director means any director of the Company that the holders of record of the Series A Preferred Stock are entitled to elect pursuant to the Company’s Certificate of Incorporation.
