Common Stock Equivalent Number definition

Common Stock Equivalent Number means, as of any date of determination, the number of shares of Common Stock that a Holder of a Share of Series A Preferred Stock would have received assuming such Share was converted pursuant to an Optional Conversion, without regard to the Optional Conversion Cap, as of such date of determination.
Common Stock Equivalent Number means, as of any date of determination, the number of shares of Common Stock that a holder of a share of CS Equivalent Stock would have received assuming such share of CS Equivalent Stock was converted pursuant to an Optional Conversion as of such date of determination.
