Vested Company Options definition

Vested Company Options means any Company Options that are vested under the terms of any Contract with the Company as of immediately prior to the Effective Time (including any stock option agreement).
Vested Company Options means the portion of all Company Options that is or may become vested prior to the Closing.
Vested Company Options means any options to purchase shares of Company Common Stock that, immediately prior to the Closing Date, are outstanding and vested.

More Definitions of Vested Company Options

Vested Company Options means, as of immediately prior to the Effective Time (after giving effect to any acceleration resulting from or in connection with the Merger), all Company Options to the extent they are (i) then vested and exercisable and (ii) have an exercise price per share less than the Per Share Consideration.
Vested Company Options means any Company Options that are vested as of the Effective Time, including any such Company Option the vesting of which accelerates at or prior to the Effective Time.
Vested Company Options means options to purchase or otherwise acquire shares of Common Stock, granted pursuant to the Company Incentive Compensation Plan, that are vested and exercisable as of the Closing.

Vested Company Options means all outstanding Company Options that, as of immediately prior to the Effective Time, are vested and exercisable (or will, by the terms of such Company Options, vest and become exercisable as a result of the consummation of the Transactions, including as a result of the Option Grant Acceleration as disclosed in Section 4.14(f) of the Company Disclosure Schedule).
