Vested Company Options definition

Vested Company Options means those Company Options vested as of immediately prior to the Effective Time pursuant to the terms of the Option Plan and applicable agreements governing such Company Options (after giving effect to any acceleration of vesting that occurs, by its terms, at or prior to the Effective Time or in connection with, or as a result of, the consummation of the Merger), which has an exercise price per Company Common Share subject thereto that is less than the Per Share Optionholder Closing Consideration.
Vested Company Options means the portion of all Company Options that is or may become vested prior to the Closing.
Vested Company Options means any options to purchase shares of Company Common Stock that, immediately prior to the Closing Date, are outstanding and vested.

Examples of Vested Company Options in a sentence

  • No interest shall be paid or will accrue on any cash payable to holders of Vested Company Options pursuant to the provisions of this Section 2.11.

  • No Vested Company Options shall be assumed or continued by Parent or the Company in connection with the Merger or the other transactions contemplated hereby.

More Definitions of Vested Company Options

Vested Company Options means any Company Options that are vested under the terms of any Contract with the Company as of immediately prior to the Effective Time (including any stock option agreement).
Vested Company Options means options to purchase or otherwise acquire shares of Common Stock, granted pursuant to the Company Incentive Compensation Plan, that are vested and exercisable as of the Closing.
Vested Company Options means any Company Options that are vested as of the Effective Time, including any such Company Option the vesting of which accelerates at or prior to the Effective Time.
