Vested Company Options definition

Vested Company Options means any Company Options that are vested under the terms of any Contract with the Company as of immediately prior to the Effective Time (including any stock option agreement).

Vested Company Options means the portion of all Company Options that is or may become vested prior to the Closing.

Vested Company Options means any options to purchase shares of Company Common Stock that, immediately prior to the Closing Date, are outstanding and vested.

• No interest shall be paid or will accrue on any cash payable to holders of Vested Company Options pursuant to the provisions of this Section 2.11.

More Definitions of Vested Company Options

Vested Company Options means, as of immediately prior to the Effective Time (after giving effect to any acceleration resulting from or in connection with the Merger), all Company Options to the extent they are (i) then vested and exercisable and (ii) have an exercise price per share less than the Per Share Consideration.

Vested Company Options means any Company Options that are vested as of the Effective Time, including any such Company Option the vesting of which accelerates at or prior to the Effective Time.

Vested Company Options means options to purchase or otherwise acquire shares of Common Stock, granted pursuant to the Company Incentive Compensation Plan, that are vested and exercisable as of the Closing.

Vested Company Options means any Company Options that are vested as of immediately prior to the Effective Time (including, after giving effect to any acceleration provided under the terms of such option to the extent such acceleration will be triggered as of the Closing). Other capitalized terms defined elsewhere in this Agreement and not defined in this Article 1 shall have the meanings assigned to such terms in this Agreement.

Vested Company Options means Company Options that were, as of the Closing, and are as of Initial Call Closing Date or Deferred Call Closing Date (as applicable), unexpired, unexercised, vested (after giving effect to any existing acceleration provision or accelerated vesting authorized by resolution of the Board of Directors of the Company prior to Closing) and in the money.

Vested Company Options means all outstanding Company Options that, as of immediately prior to the Effective Time, are vested and exercisable (or will, by the terms of such Company Options, vest and become exercisable as a result of the consummation of the Transactions, including as a result of the Option Grant Acceleration as disclosed in Section 4.14(f) of the Company Disclosure Schedule).

Vested Company Options means all Company Options that are vested (and have not been exercised) immediately prior to the Effective Time (after giving effect to any vesting acceleration provisions).
