Company Exchanges is defined in Section 2.01(e).
Company Exchanges has the meaning set forth in Section 2.1(f).
Company Exchanges means the TSX and/or the NASDAQ, as applicable.

Company Exchanges means the exchange or conversion of all of the issued and outstanding Company Convertible Securities (other than Company Options to be assumed by Pubco in connection with the Business Combination) for One Energy Common Shares (including any accrued or declared but unpaid dividends) at the applicable conversion ratio set forth in the Company’s governing documents or the terms of applicable instruments to be completed prior to the Company Merger Effective Time in accordance with the Business Combination Agreement.

  • Free Exchange means an exchange of a Commission Share of one Fund for a Commission Share of another Fund under circumstances where the CDSC which would have been payable in respect of a redemption of the exchanged Commission Share on the date of such exchange is waived and the Commission Share issued in such exchange is treated as a continuation of the investment in the Commission Share exchanged for purposes of determining the CDSC payable if such Commission Share issued in the exchange is thereafter redeemed.

  • National Exchange means any of the following markets or exchanges on which the Common Stock is listed or quoted for trading on the date in question, together with any successor thereto: the NYSE American, The New York Stock Exchange, the Nasdaq Global Market, the Nasdaq Global Select Market and the Nasdaq Capital Market.

  • Primary Exchange means, with respect to each Index constituent or each constituent underlying a Successor Index, the primary exchange or market of trading such Index constituent or such constituent underlying a Successor Index.

  • Permitted Debt Exchange shall have the meaning provided in Section 2.15(a).

  • Internal Market Buyer means a Market Buyer making purchases of energy from the PJM Interchange Energy Market for ultimate consumption by end-users inside the PJM Region that are served by Network Transmission Service.

  • Garage, private means a building or a portion thereof designed and used for the parking of vehicles.

  • Futures Exchange means the exchange or trading system with the highest trading volume of options or futures contracts relating to the Share. If options or futures contracts on the Share are not traded on any exchange, the Futures Exchange shall be the options or futures exchange with the highest amount of options or futures contracts relating to shares of companies having their residence in the country in which the Company has its residence. If there is no options or futures exchange in the country in which the Company has its residence on which options or futures contracts on shares are traded, the Calculation Agent will determine the Futures Exchange in its reasonable discretion (billiges Ermessen) (§ 317 BGB) and will make notification thereof in accordance with § 6 of the General Terms.

  • Equity Award Exchange Ratio means the sum, rounded to the four decimal places, equal to (i) the Exchange Ratio, plus (ii) the quotient of (A) the Cash Consideration, divided by (B) the Parent ADS Price.

  • Exchange Rules means the listing rules of The OTC Marketplace.

  • Reference Exchange means XETRA.

  • Stock Exchange Rules means the applicable rules of any stock exchange upon which Shares are listed;
