Company Franchisee definition

Company Franchisee means a Person other than the Company or any of its Subsidiaries that is granted a right (whether directly by the Company or any of its Subsidiaries or by another Company Franchisee) to develop or operate, or is granted a right to license others to develop or operate, a Company Franchise within a specific geographic area or at a specific location.

  • If there is a change in control of Management Company or if Management Company becomes, is acquired by, comes under the control of, or merges with or into a Competitor, or if there is a material adverse change to the financial status or operational capacity of Management Company, Franchisee will promptly notify Franchisor of any such change and Management Company will be subject to the consent process under the Franchise Agreement as a new operator of the Hotel.

  • To renew the Franchise, Company, Franchisee and its owner(s) shall execute the then standard form of franchise agreement and any ancillary agreements then customarily used by Company in the granting or renewal of franchises for the operation of Residences with appropriate modifications to reflect the fact that the agreement relates to the grant of a renewal franchise.

  • At the election of Company, Franchisee shall defend the Company at Franchisee's sole cost and expense in any such suits, actions or proceedings in which Company is joined as a party thereto, including any such suit, action or proceeding alleging liability by the Company.

  • At the discretion of Company, once each calendar year, at a time designated by Company, Franchisee and its Director or a designatted representative of its management company, shall be obligated to meet with representatives of Company at a location specified by Franchisee, for the purpose of discussing and reviewing the licensed Residence's operations, status, and financial performance.

  • If requested by the Company, Franchisee shall transfer this information to the Company in the frequency, form and manner prescribed by the Company.

  • If Franchisee wishes to use any type or brand of product or supply item or wishes to purchase products or supplies from a supplier that is not currently designated or approved by Company, Franchisee will submit to Company specifications, photographs, samples and/or other information Company may request.
