Except for this Agreement or as set forth on Section 3.3(a) of the Company Disclosure Schedule, none of Company Parent, any FPH Seller or any Company Entity is a party to any right, option, warrant, call, subscription, convertible or exchangeable security or Contracts that would require any Company Entity to sell, transfer or otherwise dispose of any Interests of the Company Entities.
Buyer shall have received a certificate signed by a duly authorized officer of the Company Parent confirming the matters set forth in Section 6.3(a), Section 6.3(b), and Section 6.3(c) as of the Closing Date.
Notwithstanding anything to the contrary in this Agreement, Company Parent shall be solely responsible for any amounts payable to Members’ Representative by any FPH Seller under this Agreement whether such amounts are incurred prior to, at or after the Closing.
Except as provided in the Governing Documents of the Company Entities, none of Company Parent, any FPH Seller or any Company Entity is a party to any voting trust, proxy or other agreement or understanding with respect to the voting of any Interests of the Company Entities.
The Company and Company Parent shall have performed and complied in all material respects with all of the covenants and agreements hereunder required to be performed and complied with by such Party prior to or as of the Closing.
