Neither the sales of the Put Shares pursuant to, nor the Company’s performance of its obligations under, this Agreement shall (a) result in the creation or imposition of any liens, charges, claims or other encumbrances upon the Put Shares or any of the assets of the Company, or (b) entitle the holders of Outstanding Ordinary Shares to preemptive or other rights to subscribe to or acquire Ordinary Shares or other securities of the Company.

Section 6 shall terminate and have no further force or effect upon the earlier of (i) the date on which the Investor and any Permitted Transferees together no longer Beneficially Own at least 4.9% of the Outstanding Ordinary Shares, (ii) the closing of any of the types of transactions contemplated by Sections 6.2(a) and 6.2(b), and (iii) the date of termination of the Collaboration Agreement if such Agreement is terminated by Purchaser in whole pursuant to Section 13.3 of the Collaboration Agreement.
