Company Share Certificate definition

Company Share Certificate means a stock certificate which as of immediately prior to the Closing represented outstanding Company Shares.
Company Share Certificate has the meaning set forth in Section 2.09.
Company Share Certificate means any certificate evidencing the Company Common Shares. “Company Subsidiary” means a Subsidiary of the Company Parties.

  • Until surrendered as contemplated by this Section 2.10(d), each Company Share Certificate shall be deemed, from and after the Effective Time, to represent only the right to receive Parent Shares (and cash in lieu of any fractional Parent Shares pursuant to Section 2.08(d)) as contemplated by this ARTICLE 2 and any distribution or dividend with respect to Parent Shares, the record date for which is after the Effective Time.

More Definitions of Company Share Certificate

Company Share Certificate means a stock certificate which as of immediately prior to the Closing represented outstanding Company Shares. “Company Shares” has the meaning set forth in the Recitals.
Company Share Certificate means any certificate evidencing the Company Common Shares (which, for the avoidance of doubt, shall not include certificates with respect to Company Restricted Shares).

Company Shares shall mean 129,540 registered common shares, CHF 1.00 par value per share, 74,025 registered series B preferred shares, CHF 1.00 par value per share, and 143,457 registered series C preferred shares, CHF 1.00 par value per share, in the Company and all the shares in the Company underlying the Company Options, outstanding at Closing. Company Source Code shall have the meaning pursuant to Clause 13(t) of Annex 9.1.
