Company Termination Payment definition

Company Termination Payment has the meaning ascribed thereto in Section 9.5.

Company Termination Payment means an amount equal to $278,000,000; provided, however, that the Company Termination Payment shall be $139,000,000 in the event this Agreement is terminated by the Company pursuant to Section 9.1(c)(ii) prior to the Cut-Off Time in order to enter into a definitive agreement with an Excluded Party providing for the implementation of a Superior Proposal.
