Compensation and Personnel Committee definition

Compensation and Personnel Committee means the Compensation and Personnel Committee of the Board of Directors.
Compensation and Personnel Committee means the Compensation and Personnel Committee, or its equivalent, of the Board or its designated appointee.

  • The compensation of all officers of the Corporation shall be fixed by the Board of Directors or the Compensation and Personnel Committee.

  • In addition, the Compensation and Personnel Committee may delegate any or all aspects of the day-to-day administration of the Plan to one or more officers or employees of the Company or any Subsidiary, and/or to one or more agents.

  • The Compensation and Personnel Committee hereby designates the Secretary of the Company and the head of the Company’s human resource function to assist the Administrator in the administration of the Plan and execute agreements evidencing Awards made under this Plan or other documents entered into under this Plan on behalf of the Administrator or the Company.

  • In the absence of the Chair of the Audit Committee, the Chair of the Compensation and Personnel Committee shall preside.

  • Subject to the approval of the Board of Directors, the Compensation and Personnel Committee shall adopt and from time to time assess and revise a written charter which will specify how the Committee will carry out its responsibilities and such other matters as the Board and the Committee determine are necessary or desirable.

Related to Compensation and Personnel Committee

  • Medical Advisory Committee means the Medical Advisory Committee established by the Board as required by the Public Hospitals Act;

  • Nominating and Corporate Governance Committee means the nominating and corporate governance committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.

  • Audit Committee means the audit committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.

  • Medical Board means the board of physicians as provided by this chapter.

  • Compensation Committee means the Compensation Committee of the Board.

  • Credentials Committee means the committee established by the Medical Advisory Committee to review applications for appointment and reappointment to the Professional Staff and to make recommendations to the Medical Advisory Committee and if no such committee is established it shall mean the Medical Advisory Committee;

  • Benefits Committee means the Employee Benefits Committee of Textron.

  • Retirement Committee means a committee consisting of the Company’s Vice President of Human Resources, the Director of HR Operations and the Compensation & Benefits Manager.

  • Governance Committee means the Governance Committee of the Board.

  • Nominating Committee means the nominating committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.

  • State Management Committee means a Committee comprising representatives from the Confederation of Western Australian Industry, the Trades and Labor Council of Western Australia, Technical and Further Education (TAFE) and the relevant Federal and State Government Departments which approve traineeship arrangements by agreement of each of the parties. The State Management Committee may be established pursuant to the provisions of the Industrial and Commercial Training Act, 1975 or any amendment to or substitution of that Act, provided that any Committee or body established in lieu of the State Management Committee has the same representatives structure and decision making processes as that Committee.

  • District Evaluation Advisory Committee means a group created to oversee and guide the planning and implementation of the Board of Education's evaluation policies and procedures as set forth in N.J.A.C. 6A:10-2.3.

  • Committees means Committees of the Board for the time being in force.

  • OH&S Committee is referred to hereafter, read “body nominated to implement policy on site”.

  • Advisory Committee means the Employer's Advisory Committee as from time to time constituted.

  • OPSI Advisory Committee means the committee established under Tariff, Attachment M, section III.G.

  • District Committees means the District Public Works Integrating Committees and the Executive Committees created pursuant to Section 164.04 of the Revised Code, and District Subcommittees created pursuant to Section 164.06 of the Revised Code.

  • Sub-Committee means a committee of a committee created by the board.

  • Committee means the Compensation Committee of the Board.

  • CSR Committee means the Corporate Social Responsibility Committee of the Board referred to in section 135 of the Act.

  • Management Committee means in the case of a Competition which is an unincorporated association, the management committee elected to manage the running of the Competition and where the Competition is incorporated it means the Board of Directors appointed in accordance with the articles of association of that company.
