Compensation Option Certificate definition

Compensation Option Certificate means the certificates representing the Compensation Options;

Compensation Option Certificate has the meaning given to that term above. “Compensation Options” has the meaning given to that term above.

Compensation Option Certificate means the certificate representing the Compensation Options issued by the Corporation to each of the Underwriters substantially in the form attached hereto as Schedule “B”;

Examples of Compensation Option Certificate in a sentence

• The Warrants and the Compensation Options have been, or prior to the Closing Time will be, duly and validly created and when issued and delivered by the Corporation pursuant to this Agreement, the Warrant Indenture and the Compensation Option Certificate, as applicable, the Warrants and the Compensation Options will be validly issued.

• The Compensation Options will contain anti-dilution provisions comparable to those set out in the Warrant Indenture, the terms of which shall be set out in the Compensation Option Certificate.

• Exito Energy will ensure that at all times prior to the expiry of the Agents’ Compensation Options, a sufficient number of Resulting Issuer Shares are allotted and reserved for issuance upon the exercise of the Agents’ Compensation Options and that, upon exercise of the Agents’ Compensation Options in accordance with the terms of the Compensation Option Certificate, such Compensation Shares are duly and validly issued to the Agents as fully paid and non-assessable Resulting Issuer Shares.

• All amounts of money referred to in this Compensation Option Certificate are expressed in lawful money of Canada.

• This Compensation Option Certificate and the Compensation Options evidenced hereby are non-assignable and non-transferable.
