Compliance with Other Instruments. Except as set forth in Schedule 2.9 of Exhibit E, the Company is not in violation or default of any provision of its Certificate of Incorporation or Bylaws, each as amended and in effect on and as of the Closing. Except as set forth in Schedule 2.9 of Exhibit E, the Company is not in violation or default of any material provision of any instrument, mortgage, deed of trust, loan, contract, commitment, judgment, decree, order or obligation to which it is a party or by which it or any of its properties or assets are bound or, to the best of its knowledge, of any provision of any federal, state or local statute, rule or governmental regulation, except for such violations or defaults which would not materially adversely affect the Company's business or properties. The execution, delivery and performance of and compliance with this Agreement, and the issuance and sale of the Shares and the Warrants, will not result in any such violation, be in conflict with or constitute, with or without the passage of time or giving of notice, a default under any such provision, require any consent or waiver under any such provision (other than any consents or waivers that have been obtained), or result in the creation of any mortgage, pledge, lien, encumbrance or charge upon any of the properties or assets of the Company pursuant to any such provision.
