Computer Files Marked. The Seller shall, at its own expense, on or before the Closing Date, indicate in its computer files that the Receivables have been sold to the Purchaser pursuant to this Receivables Purchase Agreement and deliver to the Purchaser the Receivable Schedule, certified by an officer of the Seller to be true, correct and complete.
Computer Files Marked. The Seller shall, at its own expense, on or prior to the Transfer Date, indicate in its computer files that the Receivables have been sold to the Depositor by the Seller pursuant to this Agreement and transferred and assigned by the Depositor to the Issuer in accordance with the terms of the Sale and Servicing Agreement and pledged by the Issuer to the Indenture Trustee in accordance with the Indenture and deliver to the Depositor the Schedule of Receivables, certified by the Seller’s President, Vice President or Treasurer to be true, correct and complete.
Computer Files Marked. CNHICA shall, at its own expense, on or prior to the Closing Date, indicate in its computer files that Receivables created in connection with the Receivables have been sold to CNHCR pursuant to this Agreement and deliver to CNHCR the Schedule of Receivables certified by the Chairman, the President, a Vice President, a Secretary, the Treasurer, an Assistant Secretary, or an Assistant Treasurer of CNHICA to be true, correct and complete.
Computer Files Marked. The Seller shall have or shall have caused to have, at its own expense, on or prior to the Closing Date, indicated in its computer files created in connection with the Receivables that the Receivables have been sold to Ally Auto pursuant to this Agreement and the First Step Receivables Assignment and deliver to Ally Auto the Schedule of Receivables, certified by an officer of the Seller to be true, correct and complete.
Computer Files Marked. The Seller shall have or shall have caused to have, at its own expense, on or prior to the Initial Closing Date and each Subsequent Closing Date, indicated in its computer files created in connection with the Receivables that the Receivables have been sold to XXXX pursuant to this Agreement and the First Step Receivables Assignments and deliver to XXXX the Schedule of Initial Receivables or Schedule of Additional Receivables, as applicable, certified by an officer of the Seller to be true, correct and complete.
Computer Files Marked. NFC shall, at its own expense, on or prior to such Purchase Date, (i) indicate in its computer files created in connection with such Designated Receivables that such Designated Receivables have been sold to NFRRC pursuant to this Agreement and the related PA Assignment by NFC and (ii) deliver to NFRRC the Composite Schedule of Receivables certified by an officer of NFC to be true, correct and complete (as supplemented by the schedules to the related Subsequent Transfer PA Assignment).
Computer Files Marked. GMAC shall, at its own expense, on or prior to the Closing Date, indicate in its computer files created in connection with the Receivables that the Receivables have been sold to XXXX pursuant to this Agreement and the First Step Receivables Assignment and deliver to XXXX the Schedule of Receivables certified by an officer of GMAC to be true, correct and complete.
Computer Files Marked. The Seller shall, at its own expense, on or prior to the related Subsequent Transfer Date, indicate in its computer files that such Subsequent Receivables have been sold to the Purchaser pursuant to this Agreement and the related First-Tier Subsequent Assignment and deliver to the Purchaser the related First-Tier Subsequent Assignment, including the related Schedule of Subsequent Receivables certified by an officer of the Seller to be true, correct and complete.
Computer Files Marked. The Seller shall, at its own expense, on or prior to the Closing Date, indicate in its computer files created in connection with the Lease Assets that the Lease Assets have been sold to ACOLT pursuant to this Agreement and the Lease Assets Assignment and shall deliver to ACOLT the Lease Assets Schedule, certified by an officer of the Seller to be true, correct and complete.
Computer Files Marked. NFC shall, at its own expense, on or prior to the Closing, (i) indicate in its computer files created in connection with the Receivables that the Receivables have been sold to NFRRC pursuant to this Agreement and (ii) deliver to NFRRC the Schedule of Receivables certified by an officer of NFC to be true, correct and complete.
