Condition to Settlement means (i) the delivery of a Credit Event Notice by the Issuer to the Noteholders that is effective during the Notice Delivery Period if "Credit Event Notice" is specified as a Condition to Settlement in the applicable Final Terms, and (ii) the delivery of a Notice of Publicly Available Information by Issuer to the Noteholders that is effective during the Notice Delivery Period if "Publicly Available Information" is specified as a Condition to Settlement in the applicable Final Terms, and (iii) the delivery by the Issuer of a Notice of Physical Settlement to the Noteholders that is effective no later than thirty calendar days after the Event Determination Date (such date of delivery to the Delivery Agent and the Principal Paying Agent being the "NPS Date") if "Notice of Physical Settlement" is specified as a Condition to Settlement in the applicable Final Terms and (iv) the excess of certain cumulative loss limits if so specified in the applicable Final Terms and (v) the satisfaction of any other condition which may be specified as a Condition to Settlement in the applicable Final Terms.

  • Additional Condition to Settlement: Notice of Physical Settlement.

  • Net Share Settlement means the settlement method pursuant to which an exercising Warrantholder shall be entitled to receive from the Company, for each Warrant exercised, a number of shares of Common Stock equal to the Net Share Amount without any payment therefor.

If such Insolvency, Nationalization, Merger Event or Tender Offer involves a choice of consideration to be received by holders, such holder shall be deemed to have elected to receive the maximum possible amount of cash.

  • Share Termination Settled in relation to the Transaction means that the Share Termination Alternative is applicable to the Transaction.

  • Optional Redemption Settlement Date means the second Valuation Date after the Optional Redemption Pricing Date, provided that such Valuation Date is not a Disrupted Day and that such Valuation Date is both a Currency Business Day and a Clearing System Business Day.

  • Final Settlement means permanent settlement of the Contractor’s actual allowable costs or expenditures as determined at the time of audit, which shall be completed within three years of the date the year-end cost settlement report was accepted for interim settlement by the State. If the audit is not completed within three years, the interim settlement shall be considered as the final settlement.
