Conditions to Redemption definition

Conditions to Redemption means the Conditions to Redemption set out in Condition 6(h) (Conditions to Redemption or Repurchase) or as otherwise specified in the relevant Final Terms;
Conditions to Redemption means the conditions to redemption or repurchase set out in Condition 6 or as otherwise specified in the relevant Final Terms;
Conditions to Redemption means the conditions that must be met on any day with respect to a scheduled redemption or a planned Repurchase (as defined in § 6(8)(a)) in accordance with the Applicable Supervisory Regulations in order for subordinated debt instruments to qualify as Tier 2 Instruments of the Issuer and the Parent's Group, regardless of whether the Notes qualify as Tier 2 Instruments of the Issuer and the Parent's Group at the relevant time. At the date of issue of the Notes this requires that:

Examples of Conditions to Redemption in a sentence

  • Subject to the Conditions to Redemption and Repurchase (as defined below) being fulfilled, the Issuer may, on giving not less than 30 and not more than 60 days' prior notice to the Noteholders in accordance with § 9, redeem all, but not only some, of the outstanding Notes with effect as of the date of redemption fixed in the notice if a Regulatory Event (as defined below) occurs.

  • The "Conditions to Redemption and Repurchase" are fulfilled on any day with respect to an early redemption or a planned repurchase of the Notes, if the competent supervisory authority and/or the competent resolution authority has granted the Issuer the prior permission in accordance with Articles 77 et seq.

  • If the Issuer exercises its call right in accordance with sentence 1 and the Conditions to Redemption and Repurchase are fulfilled, the Issuer shall redeem the Notes at their Early Redemption Amount (as defined below) [in the case of Fixed Rate Notes insert: together with interest accrued to but excluding the date fixed for redemption] on the date fixed for redemption.

  • If the Issuer exercises its call right in accordance with sentence 1 and the Conditions to Redemption and Repurchase are fulfilled, the Issuer shall redeem the Notes at the Early Redemption Amount (as defined below) [in the case of Fixed Rate Notes insert: together with accrued interest to but excluding such Call Redemption Date] on the Call Redemption Date fixed for redemption.

  • Upon the expiry of such notice, the Issuer shall, subject to Condition 7(b) (Conditions to Redemption, Substitution, Variation and Purchase), redeem the Securities.

  • Subject to the Conditions to Redemption and Repurchase (as defined below) being fulfilled, the Issuer or any subsidiary may at any time repurchase Notes in the open market or otherwise.

  • Potential postponement of the Scheduled Maturity Date of Subordinated Notes with a specified maturity date The Scheduled Maturity Date will be postponed if the Conditions to Redemption and Purchase are not fulfilled on the Scheduled Maturity Date and the Subordinated Notes with a specified maturity date will only be redeemed on the Final Maturity Date, where the Conditions to Redemption and Purchase are fulfilled.

  • Subject to Condition 4(j) (Conditions to Redemption and Purchase of Subordinated Tier 2 Notes) in the case of Subordinated Tier 2 Notes, the Issuer or any of its subsidiaries may at any time, but is not obliged to, purchase Notes in the open market or otherwise at any price.

More Definitions of Conditions to Redemption

Conditions to Redemption means, in relation to any Notes, the conditions to redemption or repurchase set out in Condition 6 or as otherwise specified in the relevant Final Terms and which are applicable to such Notes;
Conditions to Redemption has the meaning forth in Section 3.4(a).
Conditions to Redemption has the meaning specified under Section 3.05.
Conditions to Redemption are satisfied on any day with respect to a scheduled redemption (including the Scheduled Maturity Date and the Final Maturity Date) or a planned purchase of the Subordinated Notes, if:
Conditions to Redemption means the conditions to redemption set out in Condition (6)(i) or as otherwise specified in the relevant Pricing Supplement.
Conditions to Redemption means the conditions to redemption set out in Condition 6(e) (Redemption and Purchase – Conditions to Redemption).

Related to Conditions to Redemption

  • Redemption Conditions means, with respect to any payment of cash in respect of the principal amount of any Permitted Convertible Debt, satisfaction of each of the following events: (a) no Default or Event of Default shall exist or result therefrom, and (b) both immediately before and at all times after such redemption, Borrower’s Qualified Cash shall be no less than 150% of the outstanding principal amount of the Secured Obligations plus the Qualified Cash A/P Amount.

  • Minimum Redemption means, in relation to the Euro Non-RDR ‘Retail’ Unhedged Distribution Shares, a minimum redemption of €250 or such lesser amount as may be agreed by the Directors;

  • Specific Redemption Provisions means, with respect to a Special Dividend Period either, or any combination of, (i) a period (a "Non-Call Period") determined by the Board of Directors of the Corporation, after consultation with the Auction Agent and the Broker-Dealers, during which the shares of AMPS subject to such Dividend Period shall not be subject to redemption at the option of the Corporation and (ii) a period (a "Premium Call Period"), consisting of a number of whole years and determined by the Board of Directors of the Corporation, after consultation with the Auction Agent and the Broker-Dealers, during each year of which the shares of AMPS subject to such Dividend Period shall be redeemable at the Corporation's option at a price per share equal to $25,000 plus accumulated but unpaid dividends plus a premium expressed as a percentage of $25,000, as determined by the Board of Directors of the Corporation after consultation with the Auction Agent and the Broker-Dealers.

  • Series A Redemption Notice has the meaning set forth in Section 16.6(b).

  • Tax Redemption The meaning specified in Section 9.3(a) hereof.

  • Optional Redemption shall have the meaning set forth in Section 6(a).

  • Optional Redemption Price means $25,000 per share plus an amount equal to accumulated but unpaid dividends (whether or not earned or declared) to the date fixed for redemption and excluding Additional Dividends plus any applicable redemption premium attributable to the designation of a Premium Call Period.

  • Series A Redemption Price has the meaning set forth in Section 16.6(a).

  • Special Event Redemption Price has the meaning specified in Section 11.2.

  • Call and Put Redemption Amount means GBP 1 per Preference Share.

  • Optional Redemption Notice shall have the meaning set forth in Section 6(a).

  • Series A Redemption Date has the meaning set forth in Section 16.6.

  • Tax Event Redemption Price means an amount equal to the unpaid principal amount of this Note to be redeemed, which shall be determined by multiplying (1) the Outstanding Principal Amount of this Note by (2) the quotient derived by dividing (A) the outstanding principal amount to be redeemed by Principal Life of the Funding Agreement by (B) the outstanding principal amount of the Funding Agreement.

  • Special Redemption Price has the meaning set forth in paragraph 4(a) of Annex I.

  • Special Redemption has the meaning set forth in Section 15.1.A hereof.

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Optional Redemption Date shall have the meaning set forth in Section 6(a).

  • Note Redemption Price means, for the Redemption Date, an amount equal to the sum of:

  • Make-Whole Redemption Price means, in respect of each Bond, (a) the principal amount of such Bond or, if this is higher, (b) the sum of the then present values of the remaining scheduled payments of principal and interest discounted to the Optional Redemption Date on an annual basis (based on the actual number of days elapsed divided by 365 or (in the case of a leap year) by 366) at the Reference Dealer Rate (as defined below) plus 0.15 per cent., in each case as determined by the Determination Agent;

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Indenture Redemption Price has the meaning specified in Section 4.2(c).

  • Tax Redemption Date shall have the meaning specified in Section 16.02(a).

  • Make-Whole Redemption Margin means the margin specified as such in the relevant Final Terms.

  • Optional Redemption Notice Date shall have the meaning set forth in Section 6(a).

  • Term Redemption Date means, with respect to any Series, the date specified as the Term Redemption Date in the Appendix for such Series.
