Consent Matters means those matters listed in schedule 1; Shares means the ordinary shares of £1 each in the issued share capital of the Company. Subsidiary has the meaning given in the CA2006; United Kingdom means the geographical area of the United Kingdom of Great Britain and Northern Ireland as at the date of this Agreement.
