Consolidated Positive Net Income definition

Consolidated Positive Net Income means, as of any date of determination, an amount equal to Consolidated Net Income of the Borrower and its Subsidiaries on a Consolidated basis for the applicable measurement period, plus the following to the extent deducted in calculating such Consolidated Net Income: (a) depreciation and amortization expense, (b) one-time non-cash charges, non-cash compensation, non-cash Federal, state, local and foreign income taxes relating to amortization of intangibles for tax purposes and non-cash interest, (c) one-time costs relating to any Permitted Acquisition (of the type referred to in clause (ii) of the definition thereof) or fees in connection with any Permitted Indebtedness in an amount not to exceed $5,000,000 in any Fiscal Year of the Borrower, and (d) wind-down costs related to the Heelys Acquisition and discontinued operations for the twelve month period following the Closing Date in an amount not to exceed $5,000,000 in the aggregate, all as determined on a Consolidated basis in accordance with GAAP.
